On behalf of the Owner, the Team may make such Confidential Information available to the undersigned upon execution of this Principal Confidentiality Statement. The Confidential Information is intended solely for the Principal’s own limited use in considering whether to pursue negotiations to acquire the Property. This is not an agreement to sell the Property, nor an offer of sale. No agreement binding upon the Owner of the Property, or any of its associated or affiliated companies, shall be deemed to exist, at law or equity, until the Owner of the Property enters into a formal binding agreement of sale. The Confidential Information contains information pertaining to the leasing prospect. Neither the Team nor the Owner makes any representation or warranty, expressed or implied, as to the accuracy or completeness of the Confidential Information, and no legal liability is to be assumed or to be implied with respect thereto. By executing this Principal Confidentiality Statement you agree that the Confidential Information provided is confidential, that you will hold and treat it in the strictest of confidence, and that you will not disclose or permit anyone to disclose the Confidential Information to any person, firm or entity without prior authorization of the Owner and the Team, except that the information may be disclosed to your partners, employees, legal counsel and institutional lenders or pursuant to a court order. You further agree that you shall not disclose that discussions among you and Owner are taking place or the status of such discussions. You also agree that you or your representatives will not contact or communicate with the Property with respect to the Property or the potential transaction. The Owner expressly reserves the right in its sole discretion to reject any or all proposals or expressions of interest in the Property and to terminate discussions with any party at any time with or without notice. If you do not wish to pursue acquisition negotiations, you hereby agree to return the Confidential Information to the Team Partners. You agree that, without prejudice, the rights and remedies otherwise available to Owner, Owner shall be entitled to equitable relief (including, but not limited to, injunctive relief) if you or any of your representatives breach or threaten to breach any of the terms of this letter agreement. In addition to any other right or remedy otherwise available to Owner, you agree to indemnify, defend and hold harmless Owner, the Team and their respective representatives from and against any and all claims, actions, losses, liabilities, costs and expenses of any nature whatsoever (including attorneys’ and other legal fees and costs) arising from any such breach or threatened breach or from any non-permitted use or disclosure of any Confidential Information. No failure or delay by Owner in exercising any right, power or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise thereof preclude any other or future exercise of any right, power or privilege hereunder.
